THIS BILLING AGREEMENT (the “Agreement”) is entered into as of 07.Jul.2023, by and between client (“Customer”), andALYPOD LLC (“Provider”).
1. Services: Provider agrees to provide the services as described in Exhibit A attached hereto (the “Services”).
2. Billing and Payment:
Fees: The Customer agrees to pay the Provider the fees as set forth in Exhibit A for the Services.
Invoicing: Provider will invoice the Customer on a [SPECIFY FREQUENCY, e.g., "monthly"] basis.
Payment Terms: Payment is due within [NUMBER] days of receipt of invoice.
Late Payments: Any payments not received by the due date may be subject to late fees as described in Exhibit A.
Taxes: All fees are exclusive of taxes, and the Customer is responsible for any applicable taxes.
3. Changes and Additional Services: Any changes to the Services or additional services requested by the Customer will be subject to additional fees as agreed upon in writing by both parties.
4. Term: This Agreement shall commence on the Effective Date and shall continue until terminated by either party with [NUMBER] days written notice.
5. Termination for Non-Payment: Provider may terminate this Agreement if the Customer fails to pay any amounts due under this Agreement within [NUMBER] days of receiving written notice of non-payment.
6. Confidentiality: Both parties agree to maintain the confidentiality of all proprietary or confidential information received from the other party during the execution of this Agreement.
7. Limitation of Liability: Neither party shall be liable for any indirect, special, incidental, or consequential damages arising out of this Agreement.
8. Entire Agreement: This Agreement, including Exhibit A, constitutes the entire agreement between the parties and supersedes all prior discussions, agreements, or understandings.
9. Governing Law: This Agreement shall be governed by and construed in accordance with the laws.
IN WITNESS WHEREOF, the parties have executed this Billing Agreement as of the Effective Date.
